Terms of Service

These Terms of Service ("Terms") govern your use of the Heliant mobile application (the "App") operated by Helios Labs NY ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the App, you confirm that you:

• Are at least 13 years of age
• Have the legal capacity to enter into these Terms
• Agree to comply with all applicable laws and regulations in connection with your use of the App

If you do not agree to these Terms, do not use the App.

2. Description of Service

Heliant is a lifestyle app designed to encourage healthy morning routines by managing screen time. The App provides the following core features:

• Wind-down scheduling — set daily times when selected apps are blocked on your device
• Morning scan — take a photo of outdoor sunlight to verify you are outside, which unlocks your blocked apps
• Focus blocks — manually initiate timed periods of app blocking
• App selection — choose which apps are subject to blocking using Apple's Screen Time framework

The App uses Apple's FamilyControls, DeviceActivity, and ManagedSettings frameworks to enforce app blocking on your device.

3. Account Registration

To use the App, you must create an account using a valid email address and password, or by signing in with Apple. You are responsible for:

• Providing accurate and current account information
• Maintaining the security of your account credentials
• All activity that occurs under your account

You must notify us immediately if you suspect unauthorized access to your account.

4. Permitted Use

You agree to use the App only for its intended purpose — managing your own screen time and daily routines. You agree not to:

• Use the App on a device that is not your own without the device owner's consent
• Attempt to reverse-engineer, decompile, or disassemble the App
• Circumvent, disable, or interfere with the App's blocking mechanisms
• Use the App to violate any applicable law or regulation
• Transmit malicious content, viruses, or harmful code through the App
• Use automated systems (bots, scrapers) to interact with the App
• Attempt to gain unauthorized access to our servers or backend systems
• Upload photos that contain illegal, harmful, or inappropriate content

5. Screen Time and App Blocking

5.1 Authorization

The App requires your explicit authorization to use Apple's Screen Time features. You may revoke this authorization at any time through your device's Settings. Revoking authorization will disable the App's blocking functionality.

5.2 Blocking Behavior

When app blocking is active:

• Selected apps will display a shield overlay and will not be usable
• Blocking is enforced by Apple's system frameworks at the operating system level
• Blocking may persist even if the App is uninstalled, until the scheduled interval ends or Screen Time authorization is revoked
• If the App is unable to communicate with the system (e.g., after a reboot), blocking may need to catch up when the App is next opened

5.3 No Guarantee of Enforcement

We make reasonable efforts to ensure blocking works as configured, but we do not guarantee that blocking will activate or deactivate at the exact scheduled time in every circumstance. System restarts, software updates, low battery, and other device conditions may affect scheduling.

6. Photo Capture and Analysis

6.1 Photo Submissions

The morning scan feature requires you to capture a photo using your device's camera. By using this feature, you agree that:

• The photo will be uploaded to our servers for automated analysis
• The analysis determines whether the photo depicts outdoor sunlight
• The analysis result (not the photo content) is used to decide whether to unlock your apps

6.2 Acceptable Use

You agree to submit only genuine, unmanipulated photos taken at the time of scanning. Submitting pre-captured, downloaded, or artificially generated images to bypass the scan undermines the purpose of the App and may result in account suspension.

6.3 No Guaranteed Accuracy

The photo analysis is automated and may occasionally produce incorrect results (false positives or false negatives). We do not guarantee that every valid outdoor photo will be accepted or that every indoor photo will be rejected.

7. Intellectual Property

All content, design, code, trademarks, and other intellectual property associated with the App are owned by Helios Labs NY or our licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works based on the App or any of its components.

8. User Content

"User Content" refers to any content you submit through the App, including photos captured for the morning scan. You retain ownership of your User Content. By uploading User Content, you grant us a limited, non-exclusive license to store, process, and analyze your content solely for the purpose of providing the App's features.

We do not use your User Content for advertising, marketing, training machine learning models, or any purpose other than delivering the App's functionality.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to our data practices as described in the Privacy Policy.

10. Availability and Modifications

10.1 Service Availability

We strive to keep the App available and functioning, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the App for maintenance, updates, or circumstances beyond our control.

10.2 Changes to the App

We reserve the right to modify, update, or discontinue any feature of the App at any time. We will make reasonable efforts to notify you of significant changes.

10.3 Changes to These Terms

We may revise these Terms from time to time. The updated Terms will be posted with a new "Last Updated" date. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• The photo analysis results will be accurate in every instance
• App blocking will activate or deactivate precisely as scheduled under all device conditions

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELIOS LABS NY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or profits
• Inability to access apps on your device
• Missed appointments, alarms, or communications due to app blocking
• Any damages resulting from unauthorized access to your account

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Helios Labs NY and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any User Content you submit through the App

14. Termination

14.1 By You

You may stop using the App at any time. You may delete your account by contacting us at the address listed below.

14.2 By Us

We may suspend or terminate your account at our discretion if we believe you have violated these Terms. Upon termination, your right to use the App ceases immediately, and we may delete your account data in accordance with our Privacy Policy.

14.3 Effect of Termination

Upon termination, any active app blocking enforced by the App may remain in effect until the current scheduled interval ends or you revoke Screen Time authorization in your device's Settings.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved in the courts located in New York, New York.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Helios Labs NY regarding your use of the App and supersede any prior agreements.
